Terms of Service

Please read these Terms of Service ("Terms") carefully before using SubSync. By installing or using SubSync, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using SubSync ("Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these terms, do not use the Service. These Terms apply to all users of the Service, including merchants, administrators, and any other users.

2. Description of Service

SubSync is a subscription inventory forecasting application for Shopify merchants. The Service connects to your Shopify store and subscription platforms to provide demand forecasting, inventory protection, and alerting features. We reserve the right to modify, suspend, or discontinue the Service at any time with reasonable notice.

3. Account Registration

To use SubSync, you must:

• Have a valid Shopify store
• Provide accurate and complete information
• Maintain the security of your account credentials
• Accept responsibility for all activities under your account
• Notify us immediately of any unauthorized access

4. Subscription and Billing

4.1 Free Trial

New users may be eligible for a 14-day free trial. During the trial, you have full access to the features of your selected plan. At the end of the trial, you must subscribe to continue using the Service.

4.2 Subscription Plans

SubSync offers multiple subscription tiers (Visibility, Protection, Operations) with different feature sets and usage limits. Plan details and pricing are available on our Pricing page. We reserve the right to modify pricing with 30 days notice.

4.3 Billing

Subscriptions are billed monthly in advance through Shopify's billing system. Charges appear on your regular Shopify invoice. You authorize us to charge your Shopify account on a recurring basis. Failed payments may result in service suspension.

4.4 Cancellation

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial months. To cancel, use the billing settings in the app or contact support.

5. Acceptable Use

You agree not to:

• Use the Service for any unlawful purpose
• Attempt to gain unauthorized access to the Service or its systems
• Interfere with or disrupt the Service or servers
• Reverse engineer, decompile, or disassemble the Service
• Use the Service to transmit malware or harmful code
• Resell or redistribute the Service without authorization
• Violate any applicable laws or regulations
• Infringe upon the intellectual property rights of others

6. Data and Privacy

Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your data. By using the Service, you consent to our data practices as described in the Privacy Policy.

7. Intellectual Property

SubSync and its original content, features, and functionality are owned by SubSync and are protected by international copyright, trademark, and other intellectual property laws. You may not copy, modify, or distribute our content without permission.

8. Third-Party Services

SubSync integrates with third-party services including Shopify, Recharge, Appstle, and Loop. Your use of these services is subject to their respective terms and policies. We are not responsible for the actions or policies of third-party services.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR COMPLETELY SECURE. FORECASTS AND PREDICTIONS ARE ESTIMATES BASED ON AVAILABLE DATA AND SHOULD NOT BE RELIED UPON AS GUARANTEES.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SUBSYNC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SERVICE IN THE TWELVE MONTHS PRECEDING THE CLAIM.

11. Indemnification

You agree to indemnify, defend, and hold harmless SubSync and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Service or violation of these Terms.

12. Termination

We may terminate or suspend your access to the Service immediately, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, your right to use the Service ceases immediately.

13. Modifications to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by posting the updated Terms on this page and updating the "Last updated" date. Your continued use of the Service after changes constitutes acceptance of the modified Terms.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any disputes arising from these Terms shall be resolved in the courts of Delaware.

15. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and SubSync regarding the Service and supersede any prior agreements.
